BEFORE THE PUBLIC UTILITIES COMMISSION OF NEVADA INFORMATIONAL NOTICE REGARDING TRANSFER OF CONTROL OF TELECOMMUNICATIONS COMPANY ALEC, Inc., (“ALEC“) SinglePipe Communications, Inc. (“SinglePipe“), and Integrated Broadband Services, LLC (“IBBS“) (collectively the “Parties“) filed a joint letter with the Public Utilities Commission of Nevada (“Commission“), designated as Docket No. 10-08002, notifying the Commission of a transaction that will result in a transfer of control of a telecommunications company certificated to operate in the State of Nevada. Pursuant to Certificate of Public Convenience and Necessity (“CPC“) 2915, ALEC is certificated to operate as a competitive supplier of telecommunication service within the State of Nevada. The Parties state that ALEC is a wholly owned direct subsidiary of SinglePipe. The Parties indicate that they have entered into a transaction through which SinglePipe became a direct subsidiary, and ALEC became an indirect subsidiary, of IBBS. The Parties state that the transaction was transparent to Nevada consumers and that ALEC will continue to operate in Nevada under its existing name, with no changes to its current rates, terms, or conditions of service. The Parties state that the transaction has not affected the day-to-day operations of ALEC. The Parties state that this transaction falls within the exemptions provided in Nevada Revised Statutes (“NRS“) 704.329(6)(b), and therefore does not require Commission approval, because less than 10% of ALEC's 2009 gross operating revenue was derived from intrastate telecommunication services provided to retail customers in the State of Nevada. The Parties state that GTL is a Delaware corporation and wholly-owned direct subsidiary of GTEL Holdings, Inc., a Delaware corporation and wholly-owned direct subsidiary of GTEL Acquisition Corp. According to the Parties, GTEL Acquisition Corp. is a Delaware corporation and wholly-owned direct subsidiary of GTEL Holding LLC, a Delaware limited liability company. The Parties state that PCS is a California corporation that, pursuant to Certificate of Public Convenience and Necessity (“CPC“) 2834 Sub 1, is certificated to operate as a competitive supplier of telecommunication service within the State of Nevada. The Parties state that PCS provides managed telecommunications services to inmates of state and county departments of corrections and owns and operates prison payphones and public payphones. The Parties indicate that they have entered into a transaction through which GTL will purchase all of the issued and outstanding shares of the common stock of PCS from its shareholders, giving GTL 100% of the equity interest in PCS. The parties state that, following the proposed transaction, the assets of PCS will be transferred to GTL, and PCS will become a wholly owned direct subsidiary of GTL, making PCS an indirect subsidiary of GTEL Holdings, Inc., GTEL Acquisition Corp., and GTEL Holding LLC.
